4. User Obligations and Responsibilities

By using our services, you agree to:

• Ensure you have proper rights and permissions for any data provided
• Use our AI solutions in compliance with applicable laws and regulations
• Not attempt to reverse engineer, copy, or reproduce our proprietary AI models
• Maintain confidentiality of any proprietary information shared

7. Intellectual Property Rights

7.1 Client IP Rights

• Custom AI models developed specifically for clients are owned by the client upon full payment

7.2 Company IP Rights

• We retain rights to our proprietary AI methodologies, frameworks, and general-purpose tools
• Pre-existing IP and general AI knowledge remain our property

8. Service Availability and Performance

We strive to provide reliable AI services, however:

• AI model performance may vary based on data quality and complexity
• Service availability depends on third-party AI providers and infrastructure
• We provide reasonable efforts to maintain service uptime but cannot guarantee 100% availability
• Scheduled maintenance will be communicated in advance when possible

9. Payment Terms

• Late Payments: Late fees may apply to overdue accounts

10. Limitation of Liability

• Clients are responsible for validating AI outputs before business use

11. Warranties and Disclaimers

We provide our services "as is" with the following warranties and disclaimers:

• We warrant that services will be performed with professional skill and care
• We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement
• AI technology is evolving and perfect accuracy cannot be guaranteed
• We do not warrant that AI services will meet all specific requirements or be error-free

12. Termination

Either party may terminate services under the following conditions:

• For Convenience: With 30 days written notice
• For Cause: Immediately for material breach, non-payment, or violation of terms
• Data Return: Upon termination, we will return or securely delete client data as requested
• Survival: Certain provisions including payment obligations and IP rights survive termination

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes will be resolved through the courts of England and Wales. We encourage good faith negotiations to resolve any disagreements before formal legal proceedings.

14. Changes to Terms

We may update these Terms to reflect changes in our AI services, legal requirements, or industry standards. Material changes will be communicated with at least 30 days notice. Continued use of our services after changes constitutes acceptance of the new Terms.
